Epic Rides Inc. (“Epic Rides,” “we,” “our,” or “us”) operates a technology platform that connects riders with independent drivers. These Terms of Use (“Terms”) govern access to and use of the Epic Rides mobile application, website, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms.

1. Platform Role

1.1 Platform Function

Epic Rides provides a technology platform that enables riders and Drivers to arrange and pay for transportation. Epic Rides is not a transportation carrier and does not itself provide transportation services. Epic Rides does not employ Drivers and does not control Drivers' vehicles, routes, schedules, or driving conduct. Epic Rides is not a common carrier.

1.2 Independent Contractor Status

Drivers are independent contractors and are not employees, agents, joint venturers, or partners of Epic Rides for any purpose. Drivers are not entitled to employee benefits of any kind, including but not limited to health insurance, retirement benefits, paid time off, unemployment insurance, or workers' compensation coverage through Epic Rides. Epic Rides does not control the manner, means, or method by which Drivers provide transportation, including their hours, routes, or whether to accept any given ride request. Drivers are free to provide transportation or delivery services using other platforms, including competitors, at their sole discretion. Nothing in these Terms creates an employment, agency, or partnership relationship between Epic Rides and any Driver.

1.3 Driver Operating Expenses

Drivers are solely responsible for all costs of operating their vehicle in connection with the Platform, including but not limited to tolls, fuel, vehicle maintenance and repairs, cleaning, and any other operating expenses. Epic Rides does not reimburse Drivers for these costs.

2. Eligibility

2.1 Rider Eligibility

Riders must be at least 18 years old to create an account. Epic Rides requires age verification as part of account creation (e.g., government-issued ID or other verification method designated by Epic Rides) and may re-verify age at any time. Epic Rides will suspend or deactivate any account where age cannot be verified, is misrepresented, or is later found to be under the minimum age.

2.2 Driver Eligibility

Drivers must be at least 21 years old (or the higher age required by applicable state law) and must satisfy all eligibility requirements presented during the driver onboarding process. This includes a valid driver's license, current vehicle registration and insurance, a motor vehicle record review showing no more than three moving violations in the preceding three years, and a local and national criminal background check including a search of the National Sex Offender Public Website. Epic Rides will not authorize an individual to act as a Driver if that individual: has been convicted within the past five years of a felony, or of a qualifying misdemeanor (driving under the influence, reckless driving, hit and run, fleeing or eluding law enforcement, a violent offense, sexual battery, or lewdness/indecent exposure); has been convicted within the past three years of driving with a suspended or revoked license; is a match on the National Sex Offender Public Website; or does not possess a valid driver's license or proof of vehicle registration. Background checks and driving record reviews are repeated at least once every three years. Eligibility requirements are subject to change to remain current with applicable law.

3. User Accounts

3.1 Account Responsibilities

Users must provide accurate, current account information and keep login credentials confidential. Users are responsible for all activity occurring under their account.

3.2 Identity and Background Verification

Epic Rides uses third-party verification providers (currently Accurate, or any successor provider Epic Rides may designate) to perform identity verification, driver background checks, and MVR checks where required by law. Driver accounts may be placed in a pending or restricted status until verification is complete.

3.3 Subscription Requirement

Driver accounts also require an active subscription (Section 6.2) as a condition of Platform access. Epic Rides reserves the right to require subscription setup before, during, or after profile and verification steps are completed.

4. Safety and Conduct

4.1 Prohibited Conduct

Users agree not to:

Violate any applicable law or regulation

Harass, threaten, or discriminate against any other user

Engage in fraudulent, deceptive, or illegal activity

Damage or misuse property, vehicles, or the Platform

Manipulate or abuse matching, queueing, or ride-request systems (e.g., artificially inflating acceptance/cancellation metrics, exploiting queue logic)

Use the Platform in a manner that creates safety risks to riders, Drivers, or the public

Epic Rides may suspend or deactivate any account that violates these Terms or creates a safety risk.

4.2 Zero-Tolerance Drug and Alcohol Policy

Epic Rides maintains a zero-tolerance policy regarding the use of drugs or alcohol by a Driver while logged on to the Platform or while providing a ride. A rider who reasonably suspects a Driver was under the influence of drugs or alcohol during a ride may report it to Epic Rides at [email protected] or through in-app reporting. Upon receiving such a report, Epic Rides will suspend the Driver's access to the Platform pending investigation.

5. Rides, Fares, and Payments

5.1 Fare Estimates and Disclosure

When a ride is requested, the Platform may display estimated fares and arrival times. Actual fares may vary based on distance, time, route changes, traffic conditions, tolls, or other applicable adjustments.

Before a ride begins, the Platform will disclose the fare or the method used to calculate the fare, or will offer the rider the option to receive an estimated fare.

5.2 Driver and Vehicle Identification

Before a rider enters the vehicle, the Platform will display the Driver's photograph and the vehicle's license plate number.

5.3 Ride Receipts

Following each completed ride, Epic Rides will provide the rider an electronic receipt showing the origin and destination, total time and distance, and total fare paid.

5.4 Payment Authorization

Riders authorize Epic Rides or its payment processors to charge the payment method on file for all applicable fares and fees.

5.5 Failed Payments

If a rider's payment method is declined for any fare or fee, Epic Rides may retry the charge against that payment method, or against any other valid payment method the rider has added to their account, at reasonable intervals until the payment is successfully processed, consistent with applicable payment network rules. Epic Rides may restrict the rider's ability to request rides until any outstanding balance is paid in full.

5.6 Driver Tax Obligations

Drivers are responsible for their own tax obligations. Epic Rides does not withhold taxes for drivers. Each year, at the beginning of the year, Drivers will receive applicable tax documentation (e.g., Form 1099) from Stripe, Epic Rides' payment processor.

6. Fees, Withdrawals & Driver Subscription Terms

6.1 Payment Processing, Wallet, and Card Fees

Drivers use two separate Stripe-based accounts within the Platform, which serve different purposes:

Subscription billing account:  used solely to charge the weekly Driver Subscription Fee described in Section 6.2.

Wallet / Connected Account:  a separate Stripe Connect account that Drivers must set up upon approval in order to receive ride earnings and withdraw funds. This account is distinct from the subscription billing account and is not used to charge the subscription fee.

Payouts and withdrawals from a Driver's Wallet are subject to the following fees:

A 3% platform withdrawal fee applied to each withdrawal.

An additional 3% payment processing fee, charged by Stripe or other third-party payment processors used to facilitate the Connected Account and withdrawals.

These fees are automatically deducted at the time a withdrawal or payout is processed. By using the Platform, you acknowledge and agree to these fees. Epic Rides does not control third-party payment processor fees and reserves the right to update or modify applicable fee structures if changes are imposed by payment service providers.

6.2 Driver Subscription Fee (Driver Accounts Only)

Drivers must maintain an active subscription to access the Epic Rides Driver Platform. Subscription setup occurs immediately after phone number verification, prior to submission of profile, identity, license, vehicle, and insurance information, and access to ride requests and earnings functionality is conditioned on maintaining that active subscription throughout onboarding and thereafter.

Current Driver Subscription: $25 per week (flat fee)

This weekly subscription fee:

provides access to the Epic Rides Driver Platform, including the driver mobile application and ride request/earnings functionality

contains no hidden platform commissions

Epic Rides does not take a percentage of driver fares. Drivers retain 100% of ride fares, subject only to the processing and withdrawal fees described in Section 6.1.

Pausing Your Account. Drivers may temporarily pause their account prior to being charged for the upcoming subscription fee (pausing in the middle of a billing cycle is not permitted). When pausing an account, the Driver must provide a reason for the pause. Pausing suspends both the Driver's ability to receive ride requests and the collection of the weekly subscription fee for the duration of the pause. An account pause cannot exceed two weeks at a time. Drivers who wish to stop billing permanently must cancel their subscription, which will also deactivate Platform access.

Failure to maintain an active subscription (including due to non-payment) may result in temporary suspension of driver Platform access until the subscription is restored.

6.3 No Hidden Charges

Epic Rides operates under a transparent pricing model. Aside from the 3% withdrawal fee, the applicable third-party processing fee, and the $25 weekly driver subscription, Epic Rides does not charge hidden commissions, association fees, or recurring platform charges.

6.4 Erroneous or Duplicate Transactions

Epic Rides reserves the right to identify, reverse, and correct any duplicate, erroneous, or unauthorized transaction on the Platform, including but not limited to payouts, withdrawals, fare charges, fees, and promotional credits. If Epic Rides determines that funds were disbursed or transferred in error, including as the result of a duplicate or repeated transaction, Epic Rides may debit the affected account, withhold future payouts, offset the amount against future earnings, or take other reasonable action to recover the funds, without prior notice and without obligation to provide an explanation.

7. Promotions

7.1 Promotion Terms

Epic Rides may, at its sole discretion, offer promotions, referral incentives, discounts, credits, bonuses, or other incentive programs in any form, whether currently existing or introduced in the future (collectively, "Promotions"). Promotions may be subject to additional terms specific to that Promotion, which are incorporated into these Terms by reference and control in the event of a conflict.

7.2 Modification and Revocation

Epic Rides reserves the right to modify, restrict, suspend, or discontinue any Promotion at any time, without notice and without liability, including retroactively adjusting or revoking credits or incentives obtained through fraud, abuse, or violation of these Terms or a Promotion's specific terms. Eligibility for any Promotion is not guaranteed and may be limited based on account status, geography, timing, or other criteria set by Epic Rides.

8. Intellectual Property

8.1 License Grant

All Epic Rides trademarks, branding, software, and Platform technology are the property of Epic Rides Inc. Users receive a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose. No other rights are granted.

9. Insurance Coverage

9.1 Coverage Periods

Epic Rides maintains insurance coverage applicable to a Driver's use of the Platform, consistent with the requirements applicable to transportation network companies under Florida law. The type and amount of coverage available may vary depending on the Driver's status at the time of an incident, such as whether the Driver is logged into the Platform and awaiting a ride request, or is engaged in an accepted ride.

9.2 Driver's Personal Insurance

Drivers are independently responsible for maintaining their own personal auto insurance in accordance with applicable law. Epic Rides' coverage, where applicable, does not replace a Driver's personal insurance obligations.

10. Non-Discrimination and Accessibility

10.1 Non-Discrimination Policy

Epic Rides prohibits discrimination against riders based on race, color, national origin, religion, sex, disability, age, sexual orientation, gender identity, or any other characteristic protected by law. Drivers may not refuse service or provide a lesser level of service on such basis. Riders traveling with service animals must be accommodated in accordance with the ADA and applicable state law. Epic Rides does not impose additional charges on a rider on the basis of the rider's disability.

10.2 Rating Reconsideration

If a Driver's access to the Platform is restricted due to a low rider rating, and the Driver alleges the low rating resulted from a characteristic protected under this policy with a plausible basis for that allegation, Epic Rides will reevaluate that decision.

11. Privacy

11.1 Privacy Policy Reference

Epic Rides collects and uses certain personal, location, and usage information as described in the Epic Rides Privacy Policy, available at https://epicridesapp.com/privacy-policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described there.

12. Indemnification

12.1 Indemnification Obligations

You agree to indemnify, defend, and hold harmless Epic Rides, its officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of applicable law or a third party's rights; or (d) content you submit through the Platform.

13. Cancellation and No-Show Policy

13.1 Cancellation and No-Show Fees

Epic Rides may charge a fee for late cancellations or Driver no-shows, as disclosed to the rider at the time of booking. Applicable fee amounts and thresholds will be made available in the app prior to booking.

14. Account Suspension or Deactivation

14.1 Suspension and Deactivation

Epic Rides may, at its sole discretion and at any time, suspend or deactivate any account that violates these Terms, creates a safety risk, engages in fraud or abuse, misuses the Platform, exhibits a pattern of failed, blocked, or disputed payment transactions, or fails to maintain eligibility or subscription requirements described in Sections 2, 3, and 6. Epic Rides is not obligated to provide advance notice before suspending or deactivating an account where it reasonably believes doing so is necessary to prevent harm, fraud, or abuse.

14.2 Appeals

A user whose account has been suspended or deactivated may request reconsideration by contacting [email protected], providing: (a) the name and phone number or email associated with the account; (b) the reason the user believes the decision should be reversed; and (c) any supporting information. Epic Rides will review appeals but does not guarantee a response within any specific timeframe. Accounts suspended or deactivated for safety violations, fraud, or repeated policy violations may require additional review and are not guaranteed reinstatement regardless of the appeal outcome. Submitting an appeal does not pause or delay any other rights Epic Rides may exercise under these Terms.

15. Termination

15.1 Voluntary Termination

Users may close their account at any time by contacting [email protected] or through in-app settings, subject to resolution of any outstanding balances, disputes, or pending rides.

15.2 Surviving Provisions

Upon termination of an account (whether by the user or by Epic Rides), the following survive termination and remain in effect: Section 6 (Fees, Withdrawals & Driver Subscription, as to amounts already owed), Section 9 (Insurance Coverage, as to incidents occurring prior to termination), Section 11 (Privacy), Section 12 (Indemnification), Section 22 (Limitation of Liability), and Section 23 (Arbitration & Governing Law). All other rights and obligations end upon termination.

16. Lost and Found

16.1 Lost Items

Epic Rides is not responsible for items left in a Driver's vehicle. Epic Rides may facilitate contact between a rider and Driver to attempt return of lost items but does not guarantee recovery. Drivers may charge a reasonable fee for returning lost items, which is between the rider and Driver and is not collected or facilitated by Epic Rides.

17. Ratings

17.1 Rating System

Riders and Drivers may rate one another following each ride. Ratings are used to maintain Platform quality and safety. Epic Rides may take action,  including warnings, restrictions, or deactivation - against accounts whose average rating falls below a minimum threshold. Ratings and related feedback may be used by Epic Rides in accordance with the Privacy Policy.

18. Assumption of Risk

18.1 Acknowledgment of Risk

Transportation services arranged through the Platform involve inherent risks, including but not limited to risks associated with riding in a motor vehicle operated by a third party. By using the Platform, you acknowledge and voluntarily assume these risks to the fullest extent permitted by law. This does not waive any rights that cannot be waived under applicable law.

19. Force Majeure

19.1 Force Majeure Events

Epic Rides is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, severe weather, pandemic, war, civil unrest, government action, labor disputes, internet or telecommunications failures, or third-party service outages (including payment processors or verification vendors).

20. User Content License

20.1 Content License Grant

By submitting content to the Platform - including profile photos, ratings, reviews, comments, or other feedback - you grant Epic Rides a non-exclusive, royalty-free, worldwide, transferable license to use, reproduce, display, and distribute that content in connection with operating and promoting the Platform. You represent that you have the right to submit such content and that it does not violate any third party's rights.

21. Disclaimer of Warranties

21.1 No Warranties

The Platform is provided "as-is" and "as-available." Epic Rides makes no warranties, express or implied, regarding ride availability, uninterrupted service, Platform accuracy, or Driver behavior or performance.

22. Limitation of Liability

22.1 Liability Cap

To the maximum extent permitted by law, Epic Rides' total liability arising from or related to your use of the Platform will not exceed the greater of: (a) $100 USD, or (b) the total amount paid by you to Epic Rides during the thirty (30) days immediately preceding the event giving rise to the claim. Epic Rides is not liable for indirect, incidental, or consequential damages.

23. Arbitration & Governing Law

23.1 Governing Law and Arbitration

These Terms are governed by the laws of the State of Florida. Disputes will be resolved through binding arbitration in Miami-Dade County, Florida, except where prohibited by law. Users waive the right to a jury trial and to participate in class actions to the extent permitted by law.

24. General Provisions

24.1 Severability

If any provision is found unenforceable, it will be limited or eliminated to the minimum extent necessary, and the rest remains in effect.

24.2 Entire Agreement

These Terms, any Promotion-specific terms, and the Privacy Policy are the entire agreement, superseding prior agreements.

24.3 Assignment

Epic Rides may assign these Terms at any time without notice. Users may not assign theirs without Epic Rides' written consent.

24.4 Electronic Communications & Notices

By using the Platform, you consent to receive communications electronically (email, SMS, push) regarding your account, rides, promotions, and updates. You may opt out of non-essential communications via account settings.

25. Changes to Terms

25.1 Modification of Terms

Epic Rides may update these Terms at any time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
